Overview

Provide general in-house counsel support to the organization on a diverse range of matters with the emphasis on risk, compliance and regulatory knowledge for privacy and data management, contract negotiations and review, policies and procedures and general statutory and case law awareness.

Major Responsibilities

  • Support and/or lead contract development and contract lifecycle management including reviewing terms, identifying any concerns (e.g., financial, operational, practical), drafting and negotiating amendments, advising on risks associated with any changes from the standard templates, ensuring the organizations and all team members are compliant with the contract requirements, and managing renewals, including negotiating new terms. In addition, guide the implementation of contract management improvement processes and tools.
  • Research and provide advice on the interpretation of statutes, regulations, and case law.
  • Apply working knowledge of relevant privacy and data management requirements and best-practices.
  • Partner with internal business areas to understand legal needs and facilitate solutions.
  • Provides consultation services or support to business areas throughout project stages, including developing privacy requirements for request for proposals (RFPs), providing opinions on privacy requirements and legislation, evaluating vendors and participating in project team meetings.
  • Privacy audits, conducts analysis of audit results for the purpose of evaluating and recommending changes to business practices, policies, operating procedures, and controls used to protect the corporation’s information holdings and ensuring compliance with privacy policies and legislative requirements.
  • Provide support to enterprise risk and compliance activities including, maintaining a watching brief on application legislation and regulations to inform enterprise and departmental compliance activities.
  • Advise on corporate governance, compliance, and risk management matters, including internal policies and procedures. Support compliance/regulatory and risk activities such as development and maintenance of a compliance plan for the organization.
  • May also be required to assist or advise on corporate governance matters, assist in preparing board and governance documents, and facilitate communication between the board, stakeholders, and management.

Qualifications

  • Law degree (JD or equivalent), with a membership in good standing with the Law Society of Upper Canada.
  • Have a successful track record of 1 to 3 years of corporate legal experience, gained in-house or with a well-regarded law firm.
  • Experience managing agreements in the IT/tech services area, with respect to managing software licensing and maintenance services.
  • Privacy, risk or compliance designation is an asset but not required. An understanding of health law and healthcare policy and experience working in the healthcare industry is also preferred.
  • Proven skills in analysis, writing and legal research combined with effective interpersonal and communication (written and verbal) skills and people/team engagement abilities.
