What You Bring

  • Minimum 5+ years of direct, relevant, and practical experience in Corporate Law.
  • Proficiency with Corporate Manager software.
  • Law clerk certification is an asset.
  • Solid understanding of corporate statutes and regulations (e.g., CBCA, OBCA, PPSA).
  • Exceptional analytical and organizational skills.
  • Proven ability to manage multiple priorities effectively.
  • Time-conscious, deadline-oriented, and works well under pressure.
  • Proficient in MS Office.
  • Experience with Legal Kiosk or similar electronic minute book databases is an asset.
  • Ability to work independently with minimal supervision while valuing teamwork.

What You'll Be Doing:

  • Drafting documentation related to annual resolutions, incorporations, amalgamations, financings, dissolutions, etc.
  • Conducting minute book reviews and maintaining corporate records and registers.
  • Performing corporate searches and analyzing/summarizing search results.
  • Handling registrations, discharges, and amendments under applicable PPSA legislation.
  • Assisting with corporate reorganizations, share and asset purchase transactions, including:
  • Preparing/maintaining closing checklists.
  • Reviewing/drafting closing documents such as resolutions and officers’ certificates.
  • Preparing closing books and drafting reporting letters.
