Job Details
Located in either Calgary, AB or Houston, TX and reporting and providing assistance to the Chief Legal Officer and the legal team in general, the Legal Counsel is responsible for operating with a high degree of autonomy, initiative, and judgment while providing a high level of legal, business, and strategic advice on complex and sensitive matters. The Legal Counsel has a key role in providing assistance and advice to Trimac’s various business units and affiliates on a range of complex legal and business matters including corporate, commercial, sales, M&A, HR, regulatory, privacy, and litigation issues. This position also provides supervision and guidance on legal practice/procedure to legal and other staff as required. The position requires development of an understanding of the Company’s bulk hauling, brokerage, and associated businesses and environmental services in several North American locations and jurisdictions.
The Legal Counsel will also be adept in interacting with others and maintain a high level of teamwork. Key relationships include Trimac’s Executives, Directors, Business Development personnel, Branch Managers, HR personnel, the IT Department, and external counsel and other service providers.

- Proficient in Microsoft Office programs, especially Excel, Word, PowerPoint and Outlook.
- Possesses and demonstrates the ability to perform assigned tasks in a manner that adheres to the Company's Safety, Health, Environmental and Security policies.
Responsibilities
- Providing accurate, relevant, and timely advice to the legal team and various business units, affiliates, and staff on a variety of legal topics relating to the bulk hauling and brokerage sectors, and/or associated services.
- Negotiating, drafting, and reviewing various corporate, commercial, sales, HR, IT and other contracts and agreements.
- Managing and mitigating legal risks through the design, drafting and implementation of, or guidance related to, applicable policies and procedures.
- Promoting legal, compliance and risk management best practices throughout the company.
- Facilitating compliance with various business units regarding laws, regulations, policies, and procedures applicable to the business.
- Communicating with and managing third parties including but not limited to external counsel or auditors.
- Designing and delivering legal training to business units.
- Litigation and regulatory compliance oversight.
- Supervision of, and guidance to, legal and other staff, as required.
- Monitoring and staying up to date with changes to legislation, particularly in relation to laws, rules and regulations that directly affect Trimac’s business and specific industry.
- Liaising with senior and other members of staff.
- Additional duties and projects as assigned by management.
- Periodic travel may be required.
Qualifications
- 4 Years’ experience working as a corporate/commercial or M&A lawyer, or as in-house counsel.
- Active member in good standing of, and deemed qualified to practice law by, either the Law Society of Alberta or the State Bar of Texas.
