We are currently seeking a Law Clerk to work within our Corporate – Business Law group of our Hamilton office. The incumbent will be responsible for providing support to professionals in the department on a wide range of corporate legal matters. The ideal candidate will have a solid background in corporate law, excellent organization skills and the ability to thrive in a fast-paced work environment.

PROFILE
We are currently seeking a Law Clerk to work within our Corporate – Business Law group of our Hamilton office. The incumbent will be responsible for providing support to professionals in the department on a wide range of corporate legal matters. The ideal candidate will have a solid background in corporate law, excellent organization skills and the ability to thrive in a fast-paced work environment.
RESPONSIBILITIES
- Receives directions from the professional on the status of the file, the steps required for the conduct of the file, with instructions to meet critical deadlines.
- Drafts a variety of documentation including incorporations, amalgamations, amendments, continuances, dissolutions, revivals and wind-ups, including preparing, filing and drafting all articles and supporting resolutions and documents and filing of notices pursuant to the Corporations Information Act.
- Assists the professional to ensure that each action on the file conforms to the requirements of the Courts and/or Governing Tribunals or other Government Department.
- Prepares, files and manages maintenance of business name registrations for partnerships, sole proprietorship, limited partnerships and corporations.
- Systematically organizes, tracks and maintains document files and case correspondence, using, where appropriate, computer databases and imaging software.
- Initiates follow up actions where and when necessary.
- Assists with the following:
- Rollovers, corporate reorganizations, financings, and estate freezes
- Share/Asset purchase and sale transactions and closings
- Due diligence support
- Liaises with client to obtain and, when directed by the professional, provide information.
- With guidance, prepares and files extra-provincial registrations and licenses.
- Researches and analyses various issues, processes, codes, legislation, etc.
- Communicates directly with service providers and judicial/tribunal officials in connection with the client’s file.
- Minute-book review and maintenance.
- Conducts searches, validates and evaluates results and prepares reports on the findings.
- Prepares reports on an as needed basis.
- Any other duties as required.
- 2-5 years’ experience as a Law Clerk/Paralegal
- Law Clerk/Paralegal or Legal Assistant Diploma/Certificate
- Ability to communicate effectively with other Firm members, with the aptitude to take care of clients’ needs in a professional and courteous manner
- Capacity to work independently, as well as in a team environment
- Knowledgeable about current relevant legislation and government regulations
- In depth knowledge of legal terminology and principles
- The ability to analyze legal documents for accuracy
- Produce a high quality and quantity of work product, occasionally under tight timelines
- Able to prioritize and to redefine priorities when necessary
- Handle stress in a business-like manner
- Knowledge of Microsoft Office Suite
