About The Role

We are seeking a Vice President, Deputy General Counsel, reporting to the Senior Vice President, General Counsel.

The Vice President, Deputy General Counsel is a key leader of the IFC Corporate Legal and Compliance Department in Canada. Equally importantly, this executive is called upon by IFC's senior management, not only for his/her legal expertise, but also as a thought partner in commercial and strategic discussions around the operations and future growth of the Company.

The Vice President, Deputy General Counsel Oversees Several Teams Of a Total Of 25-30 Legal Professionals (lawyers And Paralegals) Located In Montreal And Toronto Dedicated To

  • Corporate Development (M&A).
  • Distribution and Supply Chain M&A and Financing.
  • Capital Markets (Treasury) and Investment Management.
  • Securities, Public Disclosure and ESG.
  • Corporate Ventures investing.
  • Corporate Governance and Corporate Secretary’s Office.

Key Accountabilities

  • Contribute deep corporate, commercial and M&A expertise, along with broader strategic and commercial insights, to help shape the company’s strategy.
  • Play a key leadership role in executing strategic M&A transactions and providing strategic oversight on venture investments and other transactions, both inside and outside of Canada.
  • Participate with peers in leading strategic discussions related to capital market and investment management decisions and execute on these files.
  • Lead on public disclosure and supporting on ESG disclosure and approach.
  • Ensure corporate compliance and oversee preparation of board meetings as part of the Corporate Secretary’s Office responsibilities, providing corporate governance advice and facilitating communication among stakeholders.
  • Provide oversight of other significant legal issues and represent the company to regulators, government agencies, the legal community, and other industry associations.

  • Lead, inspire, mentor, and develop a world-class legal team, maximizing the potential that exists among the different individuals in the group, and attracting and retaining new talent. Develop strong succession plans. Ensure delivery of required standards of excellence in service and performance.
  • Demonstrate stakeholder and relationship management at the highest level of the business, including displaying the confidence, commercial awareness and communication skills required to influence decision making.
  • The role holder will be the project owner for a number of material projects undertaken by the company, requiring project management skills (not just legal and regulatory) to deliver multi-disciplinary projects.

What you bring to the table: 

  • A blend of legal and leadership experience, with most likely 12 to 20 years of legal experience in increasingly senior legal roles.
  • Meaningful experience developing robust expertise at a globally leading law firm practising in corporate law, M&A and securities.
  • In-house counsel leadership experience in a complex, sophisticated and multi-jurisdictional company would be an asset.
  • Proven team leadership credentials and ability to lead, recruit, engage, and develop high-performing teams.
  • Significant track record of leadership in the execution of global and complex M&A and other transactions.
  • Strong negotiation skills with a demonstrated ability to achieve favorable outcomes in high-stakes situations.
  • Proven ability to manage and deliver on multiple priorities and multi-disciplinary projects simultaneously in a fast-paced environment.
  • Strong judgement and ability to analyse legal, strategic and business risk, distill down the “so what” for Intact, and develop and execute on pragmatic advice and solutions.
  • Superior commercial and strategic sense and a natural ability to collaborate and influence others.
  • Relentless drive towards results and constant “can do” attitude.
  • Demonstration of the critical capabilities outlined in Intact’s Leadership Success Factors: Living Intact’s Values, Caring for people, Being open and honest, Taking accountability and Driving change.
  • Ideally bilingual (French in addition to English), as regular interaction with colleagues across the country is required. For candidates located in Quebec, bilingualism is required considering the necessity to interact on a regular basis with English-speaking colleagues across the country.
  • Bachelor of Laws and admission to the Bar of Ontario, Quebec, or another Canadian province or jurisdiction.
