The Contracts Manager is responsible to lead Enterprise procurement’s contract management team responsible for leading contract negotiations, review, lifecycle management across the enterprise. This role plays a pivotal part in ensuring contracts meet corporate policies, legal requirements, and OSFI regulatory expectations especially in areas such as third-party risk, cyber security, data privacy and operations resilience.

The Contracts Manager is responsible to lead Enterprise procurement’s contract management team responsible for leading contract negotiations, review, lifecycle management across the enterprise. This role plays a pivotal part in ensuring contracts meet corporate policies, legal requirements, and OSFI regulatory expectations especially in areas such as third-party risk, cyber security, data privacy and operations resilience.
How You Will Create Impact
- Lead a team of contract specialists on all contractual and regulatory obligations.
- Manage Enterprise procurement contract repository to ensure all contracts are captured, tracked and renewal/expiry dates actioned.
- Provide contractual guidance to Enterprise procurement sourcing team, business units by functioning as the subject matter expert, provide authoritative guidance to internal business teams on corporate goals and objectives relating to contract activity (in alignment with OSFI B-10, B-13 and E-21 guidelines).
- Maintain contract compliance, renewals, and performance; lead regular reviews of critical and high-risk third-party arrangements.
- Maintain contract templates, clause library, and other standard forms that may be required for creation of agreements with suppliers collaborating with legal department.
- Maintain accurate records in the contract management system and ensure audit readiness.
- Assists in educating employees in the proper use of the approved policies and procedures.
- Provide ongoing education to Enterprise procurement team, business stakeholders on contract risks, changes to contract templates, changes required by regulators (OSFI).
- Review, revise and establish contract management team KPI’s and SLA’s.
- Draft, review, and negotiate a wide range of contracts (e.g. vendor agreements, SAAS / Cloud services, professional services, NDA’s, licensing agreements, and outsourcing arrangements).
- Manage contract lifecycle process and ensure contracts align with OSFI B-10 third-party risk management requirements, including risk assessments, exit strategies, performance monitoring, and security clauses.
- In partnership with business area, contract subject matter advisors (Risk, IT Security, Finance, Taxation) and external vendors, prepare contracts to ensure quality of agreements before sending to Legal for review.
- Lead the development and delivery of education sessions covering topics such as contract risk mitigation and the use of the contract management lifecycle policies and procedures.

- You use critical thinking skills to recognize assumptions, evaluate arguments, draw conclusions and proactively propose solutions.

- Completion of post-secondary degree in business, law or other related field with Bar certification preferred and 7 years of Contract Management experience or an equivalent combination of education and experience.
- Working experience with business law, contracting principles and practices, industry specific regulatory and compliance requirements in the financial services sector.
- Excellent understanding of legal, regulatory and operational risk concepts.
- Strong negotiation, analytical, and communication skills.
- Detailed-oriented with an ability to work cross functionally with legal, risk, business stakeholder and risk review subject matter experts.
- Expert knowledge of contract structures, language, and related governing law.
- Broad understanding of corporate policies, controls, and regulatory requirements specific to the Financial / Insurance Industry.
- You will travel occassionally.
