Interested in joining one of Canada’s top performing asset managers? We are looking for a Corporate Paralegal to join our legal department. In this role, you will provide a broad range of support in the areas of corporate law, contract law and general legal administration. You will be responsible for acting as a key interface between the Legal & Compliance team and other stakeholders inside and outside the organization.
What You Will Do
- Prepare first draft of client contracts using standard form templates as well as assist in drafting amendments to existing client contracts
- Assist and support with the drafting and negotiation of simple, standard form agreements such as non-disclosure agreements and service provider contracts, working in conjunction with a lawyer and using internal templates and playbooks.
- Answer questions with respect to executed agreements (e.g. termination clauses, renewal terms, etc.)
- Act as a first point of contact for requests/inquiries from various stakeholders; answer questions or direct to responsible lawyer, as necessary.
- Assist in the implementation of strategic initiatives to streamline legal operations and increase workflow efficiency in the areas of document management, knowledge management and workflow allocation.
- Manage and maintain precedent documents and a legal advice library, including assistance with the preparation of closing books, project checklists as well as template agreements and playbooks.
- Prepare resolutions, agreements and other corporate documents as required
- Coordinate internal and external committee meetings including the preparation of meeting materials and minute taking.
- Provide ad-hoc support to six in-house legal counsels
- Over time, assist with the review and allocation of external legal invoices
- Experience: You have a minimum of 8-10 years’ experience in an in-house setting, in a corporate or commercial role and/or securities regulatory work, with a desire to learn about the asset management industry. Familiarity with document management processes and software applications are an asset.
- Knowledge: You have an undergraduate degree in a related field and/or are a graduate of a recognized Paralegal Program in Canada (or equivalent). Ability to review simple legal agreements for red flag issues and make suitable revisions (NDAs, simple amendments, corporate resolutions etc.) is an asset.
- Collaborative Communication: You possess exceptional verbal and written communication skills and are able to comfortably and confidently communicate with lawyers and tax advisors on corporate legal matters.
- Technology: Advanced proficiency in Microsoft Office applications such as Outlook, Word, Excel, etc. Experience using document management systems such as NetDocs or iManage is an asset.
- Innovative: Demonstrated ability to take initiative, analyze processes and recognize opportunities for improvements. You are a self-starter with a learning mindset.
- Positive Attitude: A positive team player with a strongly ability to work both independently and collaboratively in a team. You have the ability to prioritize and multi-task that allow you to thrive in a fast-paced environment.
