The incumbent will support the Assistant Vice-President, Assistant Corporate Secretary, and the corporate secretariat lawyers, by contributing to the above responsibilities.

The Bank is seeking a rigorous and organized paralegal to join its Legal Affairs and Corporate Secretariat team.
Corporate Secretariat manages the governance of Laurentian Bank and its subsidiaries, including:
- the management of the Board of Directors and its committees;
- organizing meetings and preparing reports for the Board of Directors and its committees;
- the drafting, updating, and organization of policies, procedures, and mandates in compliance with legal and regulatory requirements, and best governance practices;
- disclosure of information to shareholders;
- the management of signing authorities;
- intellectual property management; and
- the management of translation services.
The incumbent will support the Assistant Vice-President, Assistant Corporate Secretary, and the corporate secretariat lawyers, by contributing to the above responsibilities.
Responsabilities
- Drafting various legal and corporate documents for the Bank's shareholders, regulatory authorities, directors, officers, and business units, and its subsidiaries (memos, resolutions, letters, agendas, minutes, policies, and reports, etc.).
- Coordinate meetings of the Board of Directors and its committees for the Bank and its subsidiaries.
- Prepare documentation related to the creation, amendment, merger, dissolution, or extension of corporations.
- Prepare and file annual returns and resolutions and any other documents related to the annual update of corporate status.
- Prepare the necessary documents to obtain permits for the regulated activities of the Bank and its subsidiaries.
- Prepare closing agendas for corporate and tax reorganizations, as well as share capital descriptions.
- Ensure compliance with regulatory requirements and track related deadlines.
- Maintain the minute books of the Bank and its subsidiaries.
- Participate in committee meetings on the governance management of the Bank and its subsidiaries.
- Contribute to the implementation and execution of processes within the Corporate Secretariat.
- Contribute to the implementation of new legal and regulatory governance requirements.
- Diploma of Collegial Studies (DEC) in Paralegal Technology.
- Over 5 years of experience, ideally in corporate secretarial, governance, and in the banking or financial sector.
- Proficiency in French and English, both oral and written.
- Excellent communication and customer service skills.
- Ability to accurately analyze corporate and legal documents.
- Autonomy, initiative, thoroughness, organizational skills, and team spirit.
- Ability to manage tight deadlines and priorities and adapt to unforeseen circumstances.
- Proficiency in Microsoft Office Suite.
