POSITION SUMMARY

18-month contractual position (Maternity leave replacement)

You will be responsible for managing the compliance system through the DocMinder platform. In addition, you will combine legal expertise and strategic management to ensure the maintenance, optimization, and monitoring of real estate rights necessary for operational activities and project development. You will provide legal support for drafting, reviewing, and preparing recurring agreements and assist the legal department in organizing and tracking new contracts.


REPORTING STRUCTURE

The Compliance Coordinator reports directly to the Director, Legal Affairs and Compliance, alongside the Environmental Coordinator and the U.S. Operations Coordinator.


RESPONSABILITIES

LEGAL SUPPORT (30%)

  • Draft and review Non-Disclosure Agreements (NDAs);

  • Draft and review recurring contracts for operational needs;

  • Develop, revise, and improve existing contract templates;

  • Review renewable energy credit purchase and sale agreements;

  • Provide administrative support to the Director, Legal Affairs – Operations in legal and compliance activities:

    • Maintain the legal department’s filing system, ensuring organization, accessibility, and effective archiving of all legal and administrative documents;

    • Organize and maintain electronic files according to internal standards;

    • Respond to documentation requests from other departments or external partners;

    • Assist in drafting resolutions and creating entities (companies, partnerships, etc.), as needed;

    • Ensure the proper functioning of the DocMinder system and evaluate new features proposed by the provider;

    • Collaborate with the Director of Legal Affairs and Compliance, department heads, and staff to identify material obligations and enter relevant information into DocMinder;

    • Perform any other related tasks.


REAL ESTATE SUPPORT (40%)

  • Draft from templates and review service agreements, real estate rights (options, leases, easements, etc.), and other agreements as needed;

  • Prepare and send required documents to the notary for annual and monthly title verification and follow up on requests;

  • Review conclusions of annual and monthly title verification reports;

  • Review newly signed options to verify data accuracy, send them to the notary for title verification, and make required changes before final signature;

  • Analyze the notary’s report and, in collaboration with the Director of Legal Affairs and Compliance, make necessary changes in response to title verification, including preparing new options, drafting amendments, and writing notice or termination letters to landowners;

  • Maintain the landowner database by creating new profiles, adding contract profiles, uploading supporting documents, entering payment details, and ensuring all title and owner information updates are accurately recorded;

  • Collaborate with the information services team to integrate new projects into the database;

  • Work with the IT department to improve the landowner database and resolve technical issues.


COMPLIANCE SUPPORT (30%)

  • Ensure the proper functioning of the DocMinder system;

  • Review newly signed contracts to identify obligations and integrate them into DocMinder;

  • Identify material obligations and enter all relevant information into the system;

  • Generate monthly reports to identify overdue or pending DocMinder items;

  • Train and support managers, their teams, and new employees on using DocMinder;

  • Update obligation owners in cases of extended absences, departures, or new hires;

  • Prepare and review, when requested by the Director of Legal Affairs and Compliance, reports on upcoming monthly obligations;

  • Participate in corporate reorganization processes, asset transfers, and internal/external audits by providing reports and supporting documentation.


REQUIREMENTS

  • Bachelor’s degree in Law and member of the Quebec Bar;

  • Minimum of one (1) to three (3) years of experience in a similar role;

  • Experience in drafting and reviewing contracts, resolutions, and business operations;

  • Proficiency in Microsoft Office Suite (Excel, Outlook, Word);

  • Experience with a contract compliance software like DocMinder is an asset;

  • Bilingual in French and English, both spoken and written.


English proficiency is required for this specific position as Kruger works with partners across North America, and the selected candidate will need to communicate with them frequently. Kruger has taken all reasonable steps to avoid requiring English proficiency, including assessing the actual language needs of the tasks, ensuring that the existing staff’s language skills were insufficient for the role, and minimizing the number of positions requiring English.
