Senior Paralegal, Corporate Services

The Role

We are seeking a Senior Paralegal to join our Corporate Services Department in our Montreal office. Reporting to the Director, Talent & Operations, you will play a pivotal role in supporting our corporate law practice. In this position, you will collaborate closely with lawyers and clients on a wide range of corporate matters, including incorporations, reorganizations, mergers and acquisitions, and corporate governance. You will also be responsible for mentoring and providing guidance to junior paralegals and legal assistants, fostering a culture of knowledge-sharing and professional development within the team.

Essential Functions

  • Independently draft and review legal documentation for corporate transactions, including resolutions, minutes, share certificates, and corporate registers.
  • Conduct due diligence and prepare comprehensive closing agendas and supporting documentation for corporate reorganizations and transactions.
  • Maintain and update corporate records, ensuring compliance with applicable federal and provincial laws and regulations.
  • Coordinate and file corporate documents with government and regulatory authorities, such as Corporations Canada and the Registraire des entreprises du Québec.
  • Oversee and conduct corporate and legal searches through various databases, including the Québec Enterprise Registrar, Corporations Canada, RPMRR, Office of the Superintendent of Bankruptcy, SOQUIJ, and the Québec Land Registry.
  • Supervise the review of minute books, the preparation of detailed reports, and the drafting of corrective resolutions as required.
  • Support lawyers in managing client relationships, including responding to inquiries and ensuring timely delivery of legal services.
  • Mentor and provide guidance to junior paralegals and legal assistants, fostering knowledge-sharing and professional development.

Qualifications

  • Bilingual proficiency in French and English, both spoken and written. This role requires frequent interaction with third parties who communicate exclusively in English, as well as collaboration with colleagues across our Canadian offices, where English is the predominant language. Given that more than 50% of the responsibilities will be performed in English, a high level of proficiency in written, oral, and comprehension skills in English is essential. The candidate must also demonstrate excellent command of written and spoken French.
  • Diploma of College Studies (D.E.C.) in Paralegal Technology or a Certificate in Law.
  • 5 to 8 years of experience as a paralegal in a corporate services department, with in-depth knowledge of corporate law.
  • Strong legal research skills and experience with registrations in relevant registries (e.g., including the Québec Enterprise Registrar, Corporations Canada, RPMRR).
  • Skilled in reviewing and analyzing legal documents to ensure accuracy and compliance.
  • Proficiency in Microsoft Office Suite and strong general computer skills.
  • Proven ability to manage multiple priorities and meet tight deadlines while maintaining high accuracy and attention to detail.
  • Demonstrated professionalism, discretion, and a client-focused approach.
  • Strong interpersonal skills with the ability to communicate clearly and effectively with colleagues, clients, and external stakeholders.
  • Ability to work independently and collaboratively within a team environment.
