The successful candidate will work on complex and high-value matters involving private M&A, corporate reorganizations, governance advisory, shareholder arrangements, and commercial agreements. Clients include privately held companies, entrepreneurs, family-owned businesses, and private investors across a diverse range of industries.
Key Responsibilities
- Lead and support private company transactions, including mergers and acquisitions, joint ventures, and restructurings
- Draft and negotiate corporate and commercial agreements (e.g., shareholder agreements, purchase/sale agreements, partnership agreements)
- Provide legal advice on corporate structuring, governance, and regulatory compliance
- Manage client relationships and handle files efficiently from start to finish
- Collaborate with colleagues across various practice areas
- Support the development of junior lawyers and students where appropriate
- Called to the Bar in a Canadian jurisdiction (preference for British Columbia)
- 3 to 5 years of post-call corporate/commercial law experience with a focus on private company work
- Proven ability to manage transactions independently or with limited supervision
- Client-focused with strong business acumen and excellent communication skills
- Skilled in drafting, negotiation, and project management
- Team-oriented, with a commitment to quality, collaboration, and professional development
- Exposure to sophisticated private company and M&A work across multiple sectors
