    Our client, a corporation and leaders in its field is growing! They are looking to add a Junior Law Clerk. This is a full time permanent position.

    In this role the successful candidate will be responsible for overseeing the continuous disclosure deadlines and compliance requirements for Canadian public issuer client companies. This position works in a team-oriented corporate governance environment.

    Under the supervision of the Director, the duties and responsibilities of the Junior Law Clerk include, but are not limited to, the following:

    • Preparing notices and agendas, compiling and distributing board packages; preparing and circulating an annual calendar of Board and Committee meetings and other key dates;
    • Typing, maintaining and circulating minutes from meetings attended by Senior Account Executives;
    • Preparing Board & Committee resolutions for Senior Account Executives, circulating, logging in minute book;
    • Supporting the planning of the annual meeting and organizing materials to be mailed to shareholders;
    • Creating Annual Meeting Chairman’s scripts and minutes thereof;
    • Maintaining the client minute books, digital and hard copy, and preparing for the annual audit reviews;
    • Preparing and performing filings of Federal and Provincial forms;
    • Overseeing the stock option and warrants processes, updating Excel tracking as required;
    • Updating physical minute books, if applicable, and compile minutes and resolutions for audit purposes;
    • Preparation of Treasury Orders;
    • Performing SEDAR+, SEDI, CSE, OTC, TSX, TSX-V filings as needed;
    • Preparing client materials and completing other client onboarding tasks as needed; and other duties as required.

    The successful candidate will possess the following qualifications:

    • Two (2) years of related work experience in a corporate legal office setting;
    • Strong knowledge of TSX/TSX-V/CSE stock exchange requirements;
    • Proficient in MS Office, particularly Word and Excel, and Adobe pdf;
    • Familiarity with on-line systems such as Ecore, NitroSign;
    • Excellent English written and verbal communication skills;
    • Superior time management and multi-tasking skills to manage competing priorities including meeting multiple continuous disclosure deadlines;
    • Strong client servicing and retention skills;
    • Interest in corporate secretarial practices;
    • Ability to work in a team environment and independently; and
    • Law clerk’s designation, legal assistant diploma or paralegal diploma. An undergraduate degree in Business Law an asset.
