Our client, a leading Canadian Real Estate company with a diversified portfolio of office, retail and mixed-use properties across Canada and in the United Sates is looking to add a Legal Counsel to their legal team
Based in either of their Vancouver or Toronto offices, you will work closely with the VP of Legal to provide sophisticated legal advice and assistance to the company’s commercial leasing and property operations activities
Responsibilities:
- Reporting into the VP of Legal, and as an integral part of the legal team, you will be responsible for
- Drafting and negotiating retail and office leases, and lease amending agreements.
- Supervising legal staff in the preparation and negotiation of lease documentation.
- Reviewing and assisting Leasing Executives with drafting and negotiation of LOIs and Offers to Lease.
- Ensuring the database of precedent leases with major tenants is constantly updated to reflect the latest negotiation.
- Monitoring and contributing to a database of standard amendments for leases.
- Providing legal advice to Leasing Executives and Property Managers related to leases and general contract matters.
- Ensuring that contracts by which Cadillac Fairview will be legally bound accurately express the company's objectives.
- Assisting as required in due diligence reviews pertaining to mass transfers by tenants.
- Supporting property operations by providing sound legal advice and assisting with non-leasing contract drafting and negotiation.
- Assisting with acquisitions, dispositions, development and financing, as required.
Requirements:
The successful candidate will:
- Have a Law degree and be admitted to the Bar in Ontario or British Columbia (Alberta Bar Admission is an asset but not required.
- Have 3+ years of real estate experience gained in a law firm, with a major developer or retailer with a focus on commercial leasing.
- Have Knowledge of legal requirements relating to Real Estate Law with an emphasis on Retail and Office leases and other contracts.
- Have a working knowledge of document preparation, litigation, lease default, remedies, bankruptcy and insolvency, project finance, and asset sales and dispositions, development and contract negotiations and preparation.
