Job summary

Our Winnipeg office is in search of an experienced paralegal to join our real estate team. This is a full-time position required to meet client and transactional deadlines. The successful candidate will be expected to work independently under the supervision of a lawyer.


Responsibilities include:

  • Preparing closing agendas or checklists for work associated with standard commercial realty acquisition or sale, commercial financing and share purchases
  • Conducting public office searches in connection with due diligence with respect to the purchase of property or with respect to entities, including Land Titles Office (LTO), Personal Property Registry (PPR), Bankruptcy, Bank Act, Corporate Registry, Sheriff’s Office, Court of King’s Bench and any others typically required for due diligence
  • Reviewing search results and providing initial commentary and/or drafting search summary report
  • Drafting LTO documents including Transfers of Land, Mortgages, Caveats (leasehold, restrictive covenant, etc.), Personal Property Security Notices and Discharges
  • Drafting PPR documents including financing statements and change statements
  • Preparing payout packages including discharge request letters, LTO discharges, PPR discharge authorizations, release of insurance interest and Bank Act Certificate of Releases
  • Drafting typical security and supporting documents for corporate entity or individual realty acquisition, sale or financing including Declaration as to Possession, General Assignment of Rents and Leases, General Security Agreement, Officer Certificate and Resolutions
  • Attending to LTO, PPR and Bank Act registrations/filing submissions
  • Providing assistance to lawyer at transaction closing and/or funding, including drafting requisite closing letters
  • Providing assistance to lawyer with client/lender reporting
  • General administrative duties and transaction maintenance including diarizing critical dates and follow-up to enquiries


Qualifications include:

  • Graduate of an accredited legal program (combination of work experience and equivalencies will be considered)
  • Minimum of five years of experience in the areas of residential and commercial real estate and commercial financing
  • Attention to detail, especially as it relates to document drafting and proofreading
  • Demonstrated initiative and ability to work independently with minimal supervision
  • Working knowledge of computer applications and electronic platforms required to perform related tasks such as MS Word, Excel and Outlook
  • Ability to prioritize and organize work to meet client-driven and transactional deadlines
  • Excellent verbal and written communication skills
