Corporate Lawyer at W3Global

We are looking for an experienced Corporate Lawyer to join our firm. The ideal candidate will be familiar with all aspects of general corporate and commercial matters, including corporate structuring and reorganizations, and mergers and acquisitions. Experience with not-for-profit, tax, and/or securities law would also be an asset.

Responsibilities
The ideal candidate will be experienced with:
- Incorporations, amalgamations, amendments, dissolutions, revivals, continuances for Federal and Ontario corporations; Similar experience with Federal and Ontario not-for-profit corporations will be an asset.
- Tax driven reorganizations - estate freezes, purifications, s.85 rollovers, s.86 exchanges and s.51 exchanges;
- Commercial transactions - independently manage business purchase and sale transactions including preparation of asset purchase agreements, share purchase agreements, and related ancillary agreement and closing documents; and
- Preparation of commercial contracts: shareholders agreements, loan agreements, management contracts, distribution agreements and other commercial agreements.
Qualifications
- Minimum two years of work experience as an associate lawyer in Ontario, with a practice focus on corporate and commercial law and mergers and acquisitions;
- Member in good standing with the Ontario Bar;
- Corporate and commercial law experience with the above-mentioned areas;
- Very strong technical skills using: Microsoft Office, Document Management software, legal accounting and docketing software, corporate maintenance software such as Appara;
- Ability to work closely and in collaboration with other lawyers, clerks, and staff as well as independently;
- Strong interpersonal skills, with the ability to communicate directly, professionally and diplomatically with clients, opposing counsel, and other external legal and accounting professionals;
- Superior organization and attention to detail to effectively manage files;
- Excellent English verbal and written communication skills;
- Professional working proficiency in French would be considered an asset;
- Experience in and/or exposure to not-for-profit law would be an asset;
- Experience in and/or exposure to tax and securities law would be an asset; and
- Demonstrates discretion and professionalism when handling confidential information and sensitive issues.
