CPP Investments is seeking a high-performing lawyer to serve as the Director, Board Secretariat in our Toronto office.  You will be responsible for providing governance advice and support to the Board of Directors and keeping current with evolving governance best practices. The successful candidate will report to the Managing Director, Head of Board Secretariat, and will work closely with the Board of Directors, the Board Secretariat team, the broader Legal department and other partners across the organization.  The successful candidate will become a member of our diverse global legal team, which includes lawyers and legal professionals in Toronto and five other international offices. 

Role-Specific Accountabilities

  • Work with the Board of Directors, Board Committees, Board Chairperson and Committee Chairs on governance best practices, governance requirements and Board-level governance activities
  • Provide guidance to internal stakeholders regarding governance requirements and engagement with the Board of Directors
  • Support the development of Board and Committee priorities, work plans and agendas
  • Support the preparation and organization of governance materials, including direct support for the Board, the Investment Strategy Committee and the Governance Committee
  • Provide advice on Board policies and mandates
  • Support Board renewal and succession, as well as director orientation and development
  • Be a key contributor to Legal Department and organization-wide initiatives and projects
  • Assist on other governance and legal matters as they arise


  • LL.B./LL.M/JD or equivalent
  • 8+ years of experience practising corporate law at a major law firm or in-house corporate legal department, corporate secretarial office or other relevant function of a financial institution or public company
  • Sophisticated governance experience and strong interest in corporate governance
  • Strong communication skills and writing ability
  • Strong interpersonal skills, including an ability to collaborate effectively with many internal and external stakeholders
  • Strong organizational skills and ability to manage multiple competing projects
  • High level of discretion, attention to detail and sound judgment   
  • Ability to meet deadlines and work under pressure
  • Motivated self-starter with the ability to work independently with minimal supervision
  • Professional conduct reflecting the quality of work, demeanour, ethical values and high standards of CPP Investments
