Your mission should you accept it:
The Legal Affairs Director, reporting to the Vice President and Chief of Administration Officer, is responsible for overseeing and managing all legal matters within the company, ensuring compliance with applicable laws, regulations, and industry standards in the construction sector. This role requires a proactive leader who can manage risk, provide strategic legal guidance, and support Borea’s growth and operations through sound legal advice and representation.

- Legal degree from an accredited university
- Member of the Quebec Bar and any other relevant jurisdiction
- Minimum of 10 years of legal experience, with at least 6 years in the construction industry
- Proven expertise in construction law, contract negotiation, regulatory compliance, and dispute resolution
- Strong leadership skills and ability to manage cross-functional teams
- Excellent communication, in French and in English, oral and written
- Ability to think strategically and provide practical legal solutions
- Strong organizational skills and attention to detail
Desired Attributes:
- In-depth knowledge of construction regulations, contract law, building codes, and safety standards.
- Experience working with contractors, subcontractors, and regulatory agencies.
- Strong business acumen and the ability to align legal strategies with corporate objectives. Proactive, solution-oriented, and able to handle complex legal issues in a fast-paced environment.
Physical Requirements:
- Ability to work in an office environment and visit the Quebec office.
- Ability to work long hours when necessary, especially during critical project deadlines or litigation.
What you will do to complete this mission successfully:
Legal Risk and Contract Management:
- Review, draft, and negotiate construction contracts, subcontracts, services, and procurement agreements.
- Provide legal guidance on risk mitigation strategies for ongoing and upcoming construction projects and guidance on contract disputes and resolve issues related to contractual obligations.
- Monitor and analyze changes in construction law, safety regulations, environmental standards, and employment laws that may impact the company.
Dispute Resolution:
- Safeguard the interests of the company, its assets, its reputation, and that of its employees in all legal disputes, including litigation, arbitration, and mediation.
- Work with external legal counsel as necessary.
- Develop and implement strategies for dispute prevention and resolution.
Compliance and Regulatory Affairs:
- Ensure compliance with all applicable local, provincial and federal laws.
- Advise senior management on compliance issues and ensure the company adheres to relevant industry-specific regulations and licensing requirements.
- Maintain up-to-date knowledge of evolving regulations and legal precedents.
Corporate Governance and Policies:
- Oversee corporate governance matters and legal implications related to company decisions.
- Develop, implement, and review company policies related to legal and regulatory compliance.
- Assist in preparing and maintaining the company’s legal documentation and corporate records.
External Relations:
- Liaise with external legal counsel, government agencies, contractors, and industry associations to stay informed of legal trends and maintain the company’s good standing in the industry.
- Coordinate with insurance providers and claim management teams to manage claims and insurance matters.
Training and Development:
- Provide training to staff and project managers on legal issues related to construction contracts, regulatory compliance, safety, and dispute resolution.
- Keep staff informed on changes to relevant laws and regulations affecting the business.
- Manage the assignment and completion of mandates granted to external legal counsel and other consultants.
- Supervise and support the members of the legal department, including overseeing their professional development.
Strategic Support:
- Partner with other departments, including procurement, project management, and finance, to provide legal support for the company’s strategic goals.
- Support the business development team in analyzing and negotiating potential mergers, acquisitions, joint ventures, and partnerships.
